Win for SRBC Clients in Shareholder Dispute
Michael J. Murphy v. Clyde N. Grey, Jr., Joseph R. Onorato, and Newbury Design Associates, Inc.
In a lawsuit brought by a minority shareholder of a professional services firm whose employment had been terminated, a judge recently granted a motion for summary judgment by SRBC on behalf of its clients, the firm and its majority shareholders.  The plaintiff claimed that he had been the victim of a "freeze-out," and that the governing shareholder agreement required the purchase of his shares.  Superior Court judge Margot Botsford, shortly before assuming her seat on the Massachusetts Supreme Judicial Court, agreed with SRBC that the termination was for a valid business purpose, that there was no buy-out obligation under the circumstances, and that the majority shareholders violated none of their fiduciary duties.
